Rules of Referral Program BLINGYourFriends

Article 1. Organizer This referral program offer (hereinafter called the «Program») is organized by Sherwood (hereinafter called «Sherwood» or the «Company»), a Simplified Joint Stock Company with a capital of €1,670,921.61, whose registered office is located at 21 Place de la République, 75003 Paris, registered in the Paris Mercantile Registry under number 852 265 529 represented by its president, Pierre-Eloi Acar. As part of its business development, Sherwood proposes a program available on its website www.bling.eu (en adelante «la Web»). The purpose of this document is to define the regulations of the Program (hereinafter called the «Regulations»). The Regulations may be modified at any time during the duration of the Program, by any supplementary clause that comes into force by the mere fact of its online publication on the Web. Any person is deemed to have read and unreservedly accepted the Regulations in their entirety by participating in the Program. For any questions regarding the Program: [email protected] Article 2. Conditions of participation The Program is open to any natural person, excluding employees of Sherwood and its affiliate, over the age of 18 and legally capable, who:

• have a valid email address;
• is registered on the waiting list (hereinafter the «List») accessible at www.bling.eu
• have confirmed their email address using the validation link received after your registration on the List;
• has shared the invitation link (thus becoming the «Inviter») with one or more people, who must (i) never have registered on the List and (ii) register for the first time on the List through the link of invitation. Any person who meets the conditions (i) and (ii) cumulatively becomes a «Referrer». The Referrer can then, in turn, become an Inviter, under the same conditions. Article 3. Operation of the Referral Contest By becoming an Inviter, the user accesses the "BLINGYourFriends" Referral Contest (hereinafter called the «Referral Contest»). The Referral Contest is free, optional and without commitment, accessible from the Web. Sherwood will proceed, within the limits of the means placed at its disposal, to verify compliance with the eligibility conditions. Sherwood reserves the right to terminate the participation of any person, if it appears that there has been fraud, abuse or cheating in any way, especially in a computerized way, in the context of their participation in the Referral Program or Contest. Sherwood reserves the right to take any action with respect to the Inviter or Referrer. Article 4. Designation of Winners The last day of each month:
• The 100 Inviters with the highest number of Referrals join the Blingers' Club (early access to the new BLING app, exclusive content emails, invitation to a monthly video call with members of the Sherwood team);
• The 5 Inviters who have the highest number of Referrals each become a Winner (hereinafter called the «Winner») and get the Prize (hereinafter called the «Prize») indicated in article 5 below. Each Winner will be informed by email in order to collect their name, surname and IBAN. If there is no contact or response within 7 calendar days of sending the email requesting the above information, the Winner will be deemed to have forfeited the Prize, and Sherwood reserves the right to designate a new Winner. At each beginning of the month, the number of Referrals of each Inviter is reduced to zero. Article 5. Prize The Prize consists of an endowment of 200 euros. Sherwood pays the Prize by bank transfer to the account with the IBAN provided by the Winner, within 7 working days of contacting the Winner. The Prize cannot be transferred to third parties, exchanged or delivered in any other way than that provided for in the Regulations. Article 6. Image Rights The Company may contact a Winner for an interview. By responding to the interview, you consent to the Company publishing the video and/or audio recordings of the interview on social networks and, in general, on the Internet. This consent is given for a period of one year, and can be terminated at any time by sending an email to [email protected]. Article 7. Modifications The Company reserves the right to shorten, lengthen, modify, report or cancel the Program or the Referral Contest at any time without prior notice, due to any additional clause that comes into force by the mere fact of its online publication on the Web. In this case, the liability of the Company cannot be engaged and the participants cannot claim any compensation. Article 8. Intellectual Property The participants of the Program refrain from and guarantee the Company with respect to any action or act likely to directly or indirectly violate the intellectual property rights of the Company. Article 9. Dispute Settlement and Applicable Law If one or more provisions were declared null or inapplicable, the other clauses would retain their full force and scope. The Regulations are subject to French law, without depriving the participant of the protection offered by the law of the country of the Union in which he resides. Any dispute regarding the Regulations will be the subject of an amicable solution attempt before any legal action, in writing to the email address: [email protected]. Disputes are subject to the non-exclusive jurisdiction of the French courts. Article 10. Personal Data 10.1. Field of Application and Data Controller The Company acts as data controller in the sense of article 4.7 of the GDPR, personal data, its integrity, security and respect for privacy in accordance with applicable regulations. 10.2. To Whom is the Data Communicated? Outside the Company, data will be shared with subcontractors that perform technical services. These service providers may only act on our instructions and on our behalf and may not use the data for other purposes. 10.3. Purpose of data processing Purposes The data you provide when participating in the Referral Contest will be used only for the following purposes:
• Award Shipping Legal Base Pursuant to the General Data Protection Regulation No. 2016/679 (the GDPR), the legal basis for processing is article 6 (1) b: execution of a contract: we comply with the terms of the BLING Referral Contest rules with in order to allow us to send the Prize to the Winner. 10.4. Processed data Categories of processed data The Society collects:
• Name
• Surname
• Email
• IBAN Data Sources Data is collected directly from each Winner. Automated Decision Making The processing does not provide for automated decision-making. 10.5. Data Recipients Recipient Categories They are recipients of the data:
• The Company and more specifically the marketing and communication department
• The subcontractor in the context of sending the Prize Transfer of data outside the EU No data transfer takes place outside the European Union. 10.6. Storage duration The Company keeps the IBAN until the recipient receives the Prize and then deletes it. The name, surname and email address are kept as long as the Winner is registered in the List, and 13 months after unsubscribing. 10.7. Security The Company implements the necessary means for the security and confidentiality of personal data, in accordance with the texts and recommendations of the National Commission for Informatics and Liberties (NCIL). 10.8. People Rights You can access and obtain a copy of the data that concerns you, oppose the processing of this data, request its rectification or deletion. Funcionamiento del Concurso de Referidos Al convertirse en Invitador, el usuario accede al Concurso de Referidos «BLINGYourFriend» (en adelante el «Concurso de Referidos»). El Concurso de Referidos es gratuito, opcional y sin compromiso, accesible desde la Web. Sherwood procederá, dentro de los límites de los medios puestos a su disposición, verificará el cumplimiento de las condiciones de elegibilidad. Sherwood se reserva el derecho de anular la participación de cualquier persona, si parece que ha habido fraude, abuso o trampa en cualquier forma, sobre todo de forma informática, en el contexto de su participación en el Programa o el Concurso de Referidos. Sherwood se reserva el derecho de tomar cualquier medida respecto al Invitador o al Referido. Artículo 4. Designación de Ganadores El último día de cada mes:
• Los 100 Invitadores que tengan el mayor número de Referidos se unen al Blingers Club (acceso anticipado a la nueva aplicación BLING, correos con contenido exclusivo, invitación a una videollamada mensual con miembros del equipo de Sherwood);
• Los 5 Invitadores que tengan el mayor número de Referidos se convierten cada uno en Ganador (en adelante el «Ganador») y consiguen el Premio (en adelante el «Premio») indicado en el artículo 5 a continuación. Cada Ganador será informado por correo electrónico con el fin de recopilar su nombre, apellidos e IBAN. Si no hay contacto ni respuesta en los 7 días de calendario posteriores al envío del correo pidiendo la información anterior, se considerará que el Ganador ha renunciado al Premio, y Sherwood se reserva el derecho de designar un nuevo Ganador. A cada inicio de mes, el número de Referidos de cada Invitador se reduce a cero. Artículo 5. Premio El Premio consiste en una dotación de 200 euros. Sherwood abona el Premio por transferencia bancaria a la cuenta con el IBAN que el Ganador ha facilitado, en un plazo de 7 días laborables desde que se ha puesto en contacto con el Ganador. El Premio no puede cederse a terceros, intercambiarse o entregarse de ninguna otra forma que no sea la prevista en el Reglamento.

Artículo 6. Derechos de imagen

La Sociedad puede contactar a un Ganador para entrevistarlo. Al responder a la entrevista, consiente que la Sociedad publique las grabaciones de vídeo y/o audio de la entrevista en redes sociales y, en general, en Internet. Este consentimiento se da por un período de un año, y puede ser rescindido en cualquier momento enviando un correo a la dirección [email protected]. Artículo 7. Modificaciones La Sociedad se reserva el derecho de acortar, alargar, modificar, reportar o anular el Programa o el Concurso de Referidos en cualquier momento sin previo aviso, por cualquier cláusula complementaria que entre en vigor por el mero hecho de su publicación en línea en la Web. En este caso, la responsabilidad de la Sociedad no puede comprometerse y los participantes no pueden reclamar compensación alguna. Artículo 8. Propiedad intelectual Los participantes del Concurso de Referidos se abstienen y garantizan a la Sociedad con respecto a cualquier acción o acto susceptible de vulnerar directa o indirectamente los derechos de propiedad intelectual de la Sociedad. Artículo 9. Solución de litigios y ley aplicable Si una o más disposiciones fueran declaradas nulas o inaplicables, las demás cláusulas conservarían toda su fuerza y alcance. El Reglamento está sujeto a la ley francesa, sin privar al participante de la protección ofrecida por la ley del país de la Unión en el que resida. Cualquier disputa relativa al Reglamento será objeto de un intento de solución amistosa antes de cualquier acción legal, por escrito a la dirección de correo electrónico: [email protected]. Los litigios están sujetos a la jurisdicción no exclusiva de los tribunales franceses. Artículo 10. Datos personales 10.1. Campo de aplicación y responsable del tratamiento La Sociedad actúa como responsable del tratamiento en el sentido del artículo 4.7 del RGPD, los datos personales, de su integridad, seguridad y respeto a la privacidad de acuerdo con la normativa aplicable. 10.2. ¿A quién se le comunican los datos? Fuera de la Sociedad, tus datos se compartirán con subcontratistas que realizan servicios técnicos. Estos proveedores de servicios solo pueden actuar siguiendo nuestras instrucciones y en nuestro nombre y no pueden usar los datos para otros fines. 10.3. Finalidad del tratamiento de datos Finalidades Los datos que proporcionas al participar en el Concurso de Referidos se usarán solo para los siguientes fines:

• Envío del Premio Base legal Conforme el Reglamento General de Protección de Datos n° 2016/679 (el RGPD), la base legal para el procesamiento es el artículo 6 (1) b: ejecución de un contrato: cumplimos los términos de las reglas del Concurso BLING de Referidos con el fin de permitirnos enviar el Premio al Ganador. 10.4. Datos tratados Categorías de datos tratados La Sociedad recopila:
• Nombre
• Apellido
• Correo electrónico
• IBAN Fuentes de los datos Los datos se recopilan directamente de cada Ganador. Toma de decisiones automatizada El tratamiento no prevé la toma de decisiones automatizada. 10.5. Destinatarios de los datos Categorías de destinatarios Son destinatarios de los datos:
• La Sociedad y más concretamente el departamento de marketing y comunicación
• El subcontratista en el contexto del envío del Premio Transferencia de datos fuera de la UE No se realiza ninguna transferencia de datos fuera de la Unión Europea. 10.6. Duración de la conservación La Sociedad conserva el IBAN hasta que el destinatario recibe el Premio y luego la elimina. El nombre, apellidos y dirección de correo electrónico se conservan mientras el Ganador esté registrado en la Lista, tras 13 meses después de darse de baja. 10.7. Seguridad La Sociedad implementa los medios necesarios para la seguridad y confidencialidad de los datos personales, de acuerdo con los textos y recomendaciones de la Comisión Nacional de Informática y Libertades (CNIL). 10.8. Derechos de las personas Puedes acceder y obtener una copia de los datos que te conciernen, oponerte al tratamiento de estos datos, solicitar su rectificación o eliminación. También tienes derecho a limitar el tratamiento de tus datos (entiende tus derechos):
